1. Agreement to Terms

By accessing or using the Oriido platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Oriido provides a QR code-based ordering platform that enables restaurants to offer digital menu and ordering services to their guests. The Service includes:

• Digital menu creation and management
• QR code generation for table ordering
• Order processing and management
• Payment processing integration
• Analytics and reporting tools

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password used to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party and to notify us immediately of any unauthorized access.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

4. Restaurant Partners

4.1 Obligations

As a restaurant partner, you agree to:

• Provide accurate menu information including prices, ingredients, and allergen information
• Honor all orders placed through the Oriido platform
• Maintain food safety and hygiene standards
• Respond promptly to customer inquiries and complaints
• Keep your account information and payment details up to date

4.2 Fees and Payment

Restaurant partners agree to pay the fees as specified in their service agreement. Fees are subject to change with 30 days notice. Payment processing fees charged by third-party payment providers are additional.

5. Guest Users

Guests using the Oriido platform to place orders agree to:

• Provide accurate information when placing orders
• Pay for all orders placed through the platform
• Not misuse the platform for fraudulent purposes
• Comply with restaurant policies and local laws

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Oriido. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

7. User Content

You retain ownership of any content you submit to the Service (such as menu items, images, and descriptions). By submitting content, you grant Oriido a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Service.

8. Prohibited Uses

You may not use the Service:

• For any unlawful purpose
• To violate any laws in your jurisdiction
• To infringe upon the rights of others
• To submit false or misleading information
• To interfere with or disrupt the Service
• To attempt to gain unauthorized access to any portion of the Service
• To collect user information without consent
• For any form of spam or unsolicited advertising

9. Limitation of Liability

In no event shall Oriido, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Oriido makes no warranties, expressed or implied, regarding the Service's operation or the information, content, or materials included therein.

11. Indemnification

You agree to defend, indemnify, and hold harmless Oriido and its licensees and licensors, and their employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Germany.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
